1. General Terms

1.1. These Terms & Conditions (the "Terms") apply to the Melbourne Innovation Centre ABN 55 078 961 707 ("MIC"), including its website https://www.melbourneinnovation.com.au (the "Website"), associated platforms, digital tools, programs, events, services, and any related content or materials provided by MIC (together, the "Services").

1.2. Access to and use of the Services is provided by MIC. By using, browsing, registering, or participating in the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must cease use of the Services immediately.

1.3. MIC may review and amend these Terms at its sole discretion. Updates will be published on the Website and will take immediate effect. MIC will use reasonable efforts to notify you of material updates.

2. Acceptance of Terms

2.1. You accept these Terms by:
(a) using or participating in the Services;
(b) registering, contributing, or submitting content; or
(c) actively agreeing (such as by clicking "accept").

3. Intellectual Property

3.1. Unless otherwise stated, MIC owns or controls all intellectual property rights in the Services, including but not limited to content, branding, logos, trademarks, program materials, video/audio resources, code, and publications.

3.2. You may not reproduce, republish, upload, post, transmit, distribute, or exploit any content from the Services for commercial purposes without prior written permission from MIC.

3.3. All third-party trademarks and content remain the property of their respective owners.

4. Privacy and Data Use

4.1. MIC collects, uses, stores, and discloses personal information in accordance with its [Privacy Policy]. By using the Services, you consent to MIC’s handling of your data as described in that policy.

4.2. The Services may use cookies or similar technologies to improve user experience. These do not personally identify you but may link to your browser or device usage patterns.

5. Participation in Programs and Services

5.1. Where MIC provides programs, mentoring, training, workshops, webinars, or consultancy, you agree to:
(a) provide accurate information when registering;
(b) comply with all reasonable MIC instructions, codes of conduct, and participation requirements;
(c) not misuse, copy, or distribute program materials without permission.

5.2. MIC reserves the right to refuse or cancel participation in Services where conduct is inappropriate, unlawful, or in breach of these Terms.

6. Payments, Refunds, and Cancellations

6.1. Where fees are charged for Services, they must be paid in accordance with MIC’s payment terms.

6.2. Refunds or cancellations will be subject to MIC’s program-specific refund and cancellation policies. Unless required by law, MIC is not obliged to provide refunds for change of mind or non-attendance.

7. Disclaimers

7.1. Nothing in these Terms limits or excludes guarantees provided under the Australian Consumer Law.

7.2. Except as required by law, MIC makes no representation or warranty about the accuracy, reliability, suitability, or availability of the Services.

7.3. The Services are provided "as is" and "as available". Your use is at your own risk. MIC does not guarantee that the Services will be uninterrupted, error-free, secure, or free of viruses.

7.4. Any business, financial, or legal decisions made in reliance on information or mentoring provided through MIC are your responsibility. MIC accepts no liability for outcomes of business decisions made by participants.

8. Limitation of Liability

8.1. To the fullest extent permitted by law, MIC will not be liable for:
(a) indirect, incidental, special, or consequential loss;
(b) loss of data, income, profit, opportunity, or goodwill;
(c) reliance on third-party content, materials, or links.

8.2. Where liability cannot be excluded, MIC’s liability is limited (at MIC’s discretion) to re-supplying the relevant Service or the cost of re-supplying it.

Nature of Advice and Services

The information, advice, guidance, and services provided by MIC are of a general nature only and intended for broad business guidance and educational purposes. They are not tailored to your specific circumstances, financial situation, objectives, or needs.

Limitation of Liability

To the maximum extent permitted by law:

  • MIC accepts no responsibility or liability for any decisions made by participants based on advice, information, or services provided (whether verbal, written, electronic, or otherwise).

  • You acknowledge that you are solely responsible for:
    (a) all business decisions made based on our advice or guidance;
    (b) conducting your own due diligence and research;
    (c) seeking appropriate professional advice specific to your circumstances;
    (d) the outcomes and consequences of any actions taken.

  • MIC makes no warranties or guarantees regarding:
    (a) the accuracy, completeness, or currency of information provided;
    (b) the suitability of advice for your specific circumstances;
    (c) the achievement of any particular outcomes or results.

MIC does not provide:

  • Legal advice
  • Financial or investment advice
  • Accounting or taxation advice

Indemnification

No Guarantee of Outcomes

MIC makes no representation or warranty that:

  • any particular outcomes will be achieved;
  • our services will meet your specific requirements or expectations.

Business ventures involve inherent risks, and success depends on factors outside MIC’s control.

Limitation of Damages

To the maximum extent permitted by law, MIC’s total liability to you for any claim shall not exceed the amount paid (if any) for the specific service giving rise to the claim. In no event will MIC be liable for indirect, consequential, or special damages, including loss of profits, revenue, opportunities, data, or business interruption.

This disclaimer is governed by the laws of Victoria, Australia. Any disputes are subject to the exclusive jurisdiction of its courts.

If any provision of this disclaimer is found invalid, the remainder shall remain in full force and effect.

MIC reserves the right to modify this disclaimer at any time. The current version applies to all advice and services from the date of publication.

10. Third-Party Links and Content

10.1. The Services may include links or references to third-party websites, tools, or providers. MIC does not control and is not responsible for such content.

10.2. Inclusion of a link or third-party service does not imply endorsement. You use these at your own risk and subject to the terms of the third-party provider.

11. Indemnity

11.1. You agree to indemnify MIC, its directors, employees, contractors, mentors, and affiliates from and against any claims, liabilities, damages, losses, or costs arising from:
(a) your use or misuse of the Services;
(b) your breach of these Terms;
(c) any claim made by a third party arising out of your conduct or reliance on MIC’s Services.

12. Governing Law

12.1. These Terms are governed by the laws of Victoria, Australia. Both you and MIC submit to the non-exclusive jurisdiction of the courts of Victoria.

13. Severability

13.1. If any provision of these Terms is invalid, unlawful, or unenforceable, the remaining provisions will continue in effect.

IMPORTANT: This terms and disclaimer form an integral part of our terms of engagement. If you do not agree with these terms, please do not proceed with using our services or accepting our advice.

Refund Policy

Fees and chargers

By enrolling in the Digital Solutions Australian Small Business Advisory Services program, you agree to pay the program fee of $110 inclusive of GST (plus any applicable surcharges) using the payment method. For online payments, we accept Visa, Mastercard and Amex. To request other forms of payment please contact us at: digitalsolutions@melbourneinnovation.com.au

Full payment is required at the time of purchase unless your business has been approved for the financial exemption.

Refund/Cancellation Policy

If you wish to withdraw from the Digital Solutions Program for any reason, you will be eligible for a refund of 100% if the following conditions have been satisfied:
The request for refund has been received in writing within 30 days of program commencement AND
You have not yet engaged or participated in a mentor session or workshop session

Melbourne Innovation Centre does not offer full refunds outside of the 30 day period under any circumstances due to our significant intellectual property and goodwill.

If you would like to apply for a refund, you must contact us with your refund request: digitalsolutions@melbourneinnovation.com.au

Once your refund request has been approved, we will send you an email to notify you of the outcome.

If the request has been approved, then your refund will be processed, and a credit will automatically be applied to your credit card or original method of payment, within 5-10 business days, depending upon the bank.

Financial Exemption

Program Commencement

Unless otherwise agreed, the agreed program commencement date will be the date that the payment has been made.
